Welcome to www.azurefoodsci.com, owned and operated by Azure Food Sciences, LLC (“Azure Food Sciences,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our Site and the services described on the Site (collectively, the “Services”).

Please read these Terms carefully before using our Site.

Acceptance of Terms

By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must not access or use the Site.

Description of Services

Azure Food Sciences provides business-to-business product development and consulting services for the dietary supplement and food industry. Our Services include, but are not limited to:

  • Formula development
  • Sample and prototype creation
  • Ingredient sourcing and specifications
  • Product specifications
  • Packaging recommendations
  • Creation of supplement/nutrition facts panels
  • Consulting and liaison/brokering services with contract manufacturers

All services provided to you (“Client”) will be detailed in a separate, written service agreement (“Service Agreement”), which may include a formal proposal, statement of work, payment agreement. These Terms are in addition to, and do not supersede, any specific terms outlined in a formal Service Agreement.

Site Content and Intellectual Property

All content on this Site, including text, graphics, logos, images, and informational resources, is the exclusive property of Azure Food Sciences, LLC or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive license to access the Site for informational, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of our Site or its content.

Client Intellectual Property & Confidentiality

Azure Food Sciences is committed to protecting your proprietary information.

  • Confidentiality: We will treat all information you share with us as part of a potential or active project (“Client Confidential Information”) as confidential. We strongly recommend executing a mutual Non-Disclosure Agreement (NDA) before any detailed project information is disclosed.
  • Ownership of Work Product: Unless otherwise specified in a signed Service Agreement, upon full and final payment for Services rendered, the Client shall own the rights to the specific, final formulas and specifications (“Final Work Product”) created by Azure Food Sciences exclusively for the Client.
  • Retained Knowledge: Notwithstanding the above, Azure Food Sciences retains all rights to its pre-existing intellectual property, know-how, methodologies, and general knowledge used in the course of providing the Services.

Client Responsibilities

As a Client, you agree to:

  • Provide accurate, complete, and timely information necessary for us to perform the Services.
  • Review submitted work including drafts, specifications, and labels (including Supplement Facts panels) for accuracy.
  • Ensure that your product concepts, marketing, and final products comply with all applicable laws and regulations (e.g., FDA, FTC).

The Client is solely responsible for the final product, its regulatory compliance, its marketing claims, and its commercial success.

Disclaimers

  • Site Information: The information on this Site (including blog posts and articles) is provided for general informational purposes only and does not constitute technical, legal, or regulatory advice.
  • No Guarantees: Azure Food Sciences does not guarantee the commercial success, manufacturability at a specific cost, or consumer acceptance of any product developed.
  • Third-Party Manufacturers: We may connect you with or work with third-party contract manufacturers. We are not responsible for the performance, quality, or business practices of any third party. Your relationship with any manufacturer is solely between you and them.
  • Regulatory Disclaimer: We use our professional expertise to create formulations and labels based on our understanding of industry standards and regulations. However, the regulatory landscape is complex and subject to change. The final responsibility for all regulatory compliance (including, but not limited to, FDA and FTC compliance) rests with the Client who markets and sells the final product.

Limitation of Liability

To the fullest extent permitted by law, Azure Food Sciences, LLC, its members, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your use of our Site; (b) your engagement of our Services (except as expressly provided in a signed Service Agreement); (c) any conduct or content of any third party, including manufacturers.

In no event shall Azure Food Sciences’ aggregate liability for any claims relating to the Services exceed the total amount of fees paid by you to us under the applicable Service Agreement in the six (6) months prior to the claim.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on the Site and update the “Last Updated” date. Your continued use of the Site after such changes constitutes your acceptance of the new Terms.
